3. As a further part of the consideration for the said transfer Mr. Munton shall pay all costs and expenses in connection with the formation and registration of the new Company and of carrying out the transfer to the new Company of the assets of the said firm in Hongkong.

The stock intended to be transferred under this Agreement is set out in a list signed by Franz Emil Ehrhardt and Oswald Kuller on behalf of the Company and by Mr. Munton and marked

5. The furniture and other effects intended to be included under this Agreement are set out in a list signed by the said parties and marked "B".

The book debts intended to be included under this agreement are set out in a list signed by the said parties and marked "C".

The Company will execute and deliver to Mr. Munton a full and proper Power of Attorney to enable him to receive and recover the said book debts hereby agreed to be transferred and will use its best endeavours to secure to the said D. W. Munton and for the new Company the full benefit of the

premises.
